Supplemental Terms and Conditions

These Supplemental Terms and Conditions (“Supplemental Terms”) are entered into between Refraction Point, Inc. (“Refraction Point”) and the entity identified as the Customer who is purchasing or enabling access to the relevant Supplemental Tool (“Customer” or “you”), and governs your access to and use of the Supplemental Tool (as defined below). By accepting these Supplemental Terms, you agree to these Supplemental Terms, which upon acceptance, supplement and are incorporated into, the Terms and Conditions previously agreed to between the parties (“Agreement”). IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A CUSTOMER, THEN YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH CUSTOMER TO THIS AGREEMENT. These Supplemental Terms are effective as of the earlier of your acceptance of these Supplemental Terms or your access to and use of the Supplemental Tools. Capitalized terms not defined herein have the meaning given to them in the Agreement. In the event of any inconsistency between the terms of the Agreement and these Supplemental Terms, these Supplemental Terms shall control.

BY CLICKING ON THE “I ACCEPT” BUTTON, PURCHASING OR ENABLING ACCESS TO USE THE SUPPLENTAL TOOLS, OR OTHERWISE ACCESSING OR USING THE SUPPLEMENTAL TOOLS, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE SUPPLEMENTAL TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH REFRACTION POINT, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THESE SUPPLEMENTAL TERMS ON BEHALF OF THE LEGAL ENTITY IDENTIFIED IN THE AGREEMENT.

1. General.

Subject to these Supplemental Terms, Refraction Point makes available to Customer certain tools or features in connection with the provision of the Services (collectively, the “Supplemental Tools”). The Supplemental Tools constitute Services for the purposes of the Agreement and the Agreement shall apply in full to Customer’s use of the Supplemental Tools.

2. Binary Library.

If Customer enables or subscribes to the “Binary Library” extension through the Services, Customer hereby grants Refraction Point a perpetual, non-transferable (except pursuant to Section 10.5 of the Agreement), royalty free license to use binaries or source code contained in the Customer Data (“Binaries”) for purposes of identifying such Binaries within Customer Data and within data submitted by other customers of Refraction Point for the benefit of such customers; provided that Refraction Point’s use of such Binaries will not identify Customer or its Confidential Information to any other customer of Refraction Point.
